M24a, i dissidenti accusano: poca democrazia e irregolarità diffuse
La protesta di 12 membri del direttivo del partito di Aprile, scritta in occasione della riunione di fine ottobre a Napli
Pubblichiamo integralmente, imperfezioni e refusi inclusi, la dichiarazione firmata da Franco Calderone, Nicola Manfredelli, Raffaele Vescera e altri nove membri in occasione del direttivo del Movimento 24 agosto-Equità territoriale svoltosi a Napoli il 31 ottobre scorso. I firmatari, quasi tutti soci fondatori del Movimento, hanno subito il commissariamento dei propri circoli e delle unità territoriali di cui avevano responsabilità dirigenziali.

Dichiarazione sottoscritta da allegare al verbale del direttivo del 31.12.2021, affinche’ ne faccia parte integrante ed inscindibile di esso
I Sottoscritti, Sigg. ————-, tutti componenti in carica del Consiglio Direttivo del Movimento 24 Agosto ET, intendono formulare, come in effetti formulano preliminarmente all’apertura della riunione odierna i seguenti rilievi e le consequenziali richieste di cui appresso.
In primo luogo, non intendono avallare il verbale della seduta precedente del 12.09.2021, da cui si dissociano formalmente, nella parte in cui il Direttivo si è arrogato il diritto di approvare il bilancio di gestione del 2019. Osservano che, contrariamente a quanto illegittimamente previsto nello Statuto, il rendiconto di gestione non può mai essere approvato dallo stesso organo che lo predispone o concorre a predisporlo e comunque dall’organo esecutivo del Movimento, di cui fa parte anche il Tesoriere, che neppure potrebbe votare a favore, come peraltro è avvenuto il 12.09.2021, per evidente conflitto di interessi (art. 2475 ter c.c.). Contravviene ai principi normativi in materia che l’organo che esegue le spese, utilizzando il denaro degli associati, approvi da sé le uscite che ha sostenuto, sfuggendo alle logiche dei controlli da parte dell’assemblea generale. Nel caso di specie, infatti, la prerogativa dell’approvazione del bilancio spetta per legge unicamente all’Assemblea Generale, di cui è stata chiesta peraltro l’immediata convocazione. Tale prerogativa è infatti disciplinata dall’art. 20 del codice civile italiano, nonché dall’art. 25, comma 1, lett.C), d.lgs.117/2017 (cd. Codice del Terzo Settore) a cui anche il Movimento deve prestare osservanza. Nel caso in cui, questo Direttivo, difformemente a quanto prescritto dalla legge, ritenesse di approvare il proprio bilancio, gli scriventi sin da adesso dichiarano di non avallare tale decisione, anzi si oppongono ad essa formalmente, riservando la tutela delle proprie ragioni avanti alla competente Autorità Giudiziaria. Va da sé, che le medesime considerazioni valgono a fortiori anche con riguardo al punto 2 posto all’ordine del giorno, concernente l’approvazione del bilancio 2020, la cui approvazione deve ritenersi, come in effetti è sempre di competenza dell’assemblea e non del direttivo per quanto sopra detto.
Riguardo l’approvazione del preventivo 2021 di cui al punto 3 dell’od.g., essa appare del tutto intempestiva vista che è stata inserita all’odg di una riunione convocata in prossimità degli ultimi due mesi dell’anno. Il preventivo dovrebbe essere approvato ad inizio dell’anno e non alla sua fine.
Gli scriventi contestano anche i punti 5, 6 e 7 dell’ordine del giorno per una serie di considerazioni che si vanno da esplicitare. In primo luogo, gli scriventi non sono stati messi in condizione di conoscere preventivamente i fatti e/o i presupposti per l’adozione di provvedimenti revocatori, disciplinari e di commissariamento inseriti all’o.d.g.. In secondo luogo, come diretta conseguenza del rilievo che precede, gli scriventi non sono stati messi nella condizione di partecipare alla stesura dell’ordine del giorno, con l’effetto di impedire la loro partecipazione alla individuazione delle tematiche oggetto della odierna discussione. In terzo luogo, poiché non risulta che questo direttivo sia stata convocato su richiesta di almeno 2/3 dei suoi componenti, è evidente che la convocazione deve ritenersi eseguita motu proprio dal Presidente, come si evince dal richiamo all’art. 7 comma 2 dello Statuto contenuto nell’avviso di convocazione. Il Presidente tuttavia è dimissionario, precisandosi che le sue dimissioni non sono state respinte come nel direttivo del 20.06.2021, ma accettate nella riunione del 12.09.2021. Come dimissionario, il Presidente doveva e deve limitarsi al compimento di atti di ordinaria amministrazione, tesi all’avvicendamento con il suo sostituto nell’interesse esclusivo del Movimento e non proporre, in tale sua qualità, procedimenti disciplinari, revoche e commissariamento di intere regioni, che incidono sensibilmente sull’assetto e l’organizzazione del movimento. Si rileva ancora che eventuali provvedimenti come quelli indicati nei punti 5, 6 e 7 dell’o.d.g. appartengono inderogabilmente all’assemblea, in forza di quanto prescrive sempre l’art. 25, comma 1, lett. D) ed E) del predetto Codice del Terzo Settore. Di talché, qualora l’odierno direttivo dovesse deliberare ugualmente, la delibera sarebbe palesemente contra legem.

Gli scriventi rilevano altresì che la mancata convocazione dell’assemblea abbia rappresentato un grosso colpo inferto ai principi normativi regolatori delle associazioni. L’assemblea doveva e deve essere convocata ogni anno. Se nel 2020 non era stato possibile convocarla a causa del covid, non altrettanto può dirsi per il 2021, poiché poteva e doveva essere sfruttata la possibilità offerta dal d.l. 44/2021 che aveva appositamente rinviato al 29.06.2021 il termine per l’approvazione dei bilanci delle soggetti appartenenti al cd. Terzo settore (tra cui rientra a buon diritto anche il nostro Movimento in veste di associazione), consentendo di tenere assemblea anche in modalità telematica. Non vi può essere alcuna scusante per tale grave omissione.
Inoltre, va in aggiunta segnalato che questo direttivo aveva i poteri dell’assemblea che poteva, tuttavia, esercitare in via transitoria entro un anno dalla costituzione dell’associazione. Aveva anche il dovere di convocare l’assemblea entro un anno dalla costituzione al fine di eleggere i membri del direttivo. Non avendolo fatto, si ritiene che quei poteri in sostituzione dell’assemblea non possano più essere esercitati, in considerazione del fatto che la mancata convocazione dell’assemblea non è dipesa da cause straordinarie contingenti, ma da una precisa volontà omissiva del direttivo. Anche per questa via, è evidente che il direttivo non abbia più alcun potere che possa esercitare in sostituzione dell’assemblea. Si chiede pertanto di soprassedere dal deliberare su questioni che per legge appartengono ad altro organo sociale, che è unicamente l’assemblea. Se, nonostante quanto appena detto, il direttivo adotterà delibere sui punti 5, 6 e 7, gli scriventi si dissociano sin da adesso e riservano iniziative anche giudiziarie.

Anche i punti 8 e 9 dell’odg non devono essere votati dal direttivo. Si stigmatizza il fatto che il direttivo non abbia sentito la necessità di emanare un regolamento che consentisse la designazione dei delegati legittimati a partecipare all’assemblea. Discutere le modalità del percorso assembleare è giuridicamente, prima, e politicamente, poi, un grave atto di ingerenza ad oltre due anni dalla costituzione dell’associazione. La riorganizzazione delle strutture territoriali è un atto di indirizzo di straordinaria amministrazione che non può essere prerogativa di un direttivo che, a norma di legge, doveva e deve essere composto da persone votate dall’assemblea regionale.
Gli scriventi, pertanto, ritengono che il direttivo debba procedere in via d’urgenza ad una prossima convocazione per l’approvazione dei regolamento necessario per la designazione dei delegati legittimati a partecipare all’assemblea generale, di cui è certa la richiesta di convocazione sottoscritta da quasi 400 iscritti al Movimento 24 Agosto. Detto regolamento dovrà essere redatto garantendo e rispettando i principi democratici e normativi vigenti, ed approvato in tempo utile a permettere la designazione dei delegati in vista della convocanda assemblea. Si conclude chiedendo l’aggiornamento del presente direttivo e di soprassedere dal votare l’odg della odierna riunione.
